{"id":111515,"date":"2019-11-07T19:10:53","date_gmt":"2019-11-08T00:10:53","guid":{"rendered":"http:\/\/rbach.net\/index.php\/"},"modified":"2021-08-15T17:02:26","modified_gmt":"2021-08-15T21:02:26","slug":"xerox-may-buy-hp","status":"publish","type":"post","link":"https:\/\/rbach.net\/index.php\/xerox-may-buy-hp\/","title":{"rendered":"Xerox May Buy HP"},"content":{"rendered":"<p><strong>Updated 02\/27\/2020 <\/strong>&#8211; <strong>HP<\/strong> has returned fire on the heels of <a href=\"https:\/\/www.cnbc.com\/2020\/02\/24\/hp-hpq-earnings-q1-2020.html\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>beating Wall Street<\/strong> expectations<\/a> for \u2018Q1 20. HP announced a &#8220;<strong>value creation plan<\/strong>&#8221; to return <strong>$16 billion to shareholders<\/strong> to fight the hostile takeover bid from Xerox. This will come in the form of HP stock buybacks and dividends powered in part by cost-cutting.<\/p>\n<p>But <strong>Xerox<\/strong> has not backed down and plans to launch a <strong>tender offer starting<\/strong> &#8220;on or around&#8221; <strong>March 2<\/strong>, which will ask all HP shareholders to sell their shares to Xerox.<\/p>\n<p>There is now <a href=\"https:\/\/www.barrons.com\/articles\/xerox-stock-rallies-as-hp-hints-it-might-make-a-takeover-bid-51582669768\" target=\"_blank\" rel=\"noopener noreferrer\">speculation<\/a> that HP could buy out Xerox.<\/p>\n<p style=\"text-align: center;\">&#8212;<\/p>\n<p><strong>Updated 02\/10\/2020 <\/strong>&#8211; <strong>Xerox <\/strong>has fired another salvo in its hostile take-over attempt of HP. <em><a href=\"https:\/\/www.cnbc.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">CNBC<\/a><\/em> is <a href=\"https:\/\/www.cnbc.com\/2020\/02\/10\/xerox-sweetens-its-bid-for-hp-inc-to-24-a-share-from-22-a-share.html\" target=\"_blank\" rel=\"noopener noreferrer\">reporting<\/a> that Xerox has <a href=\"https:\/\/www.news.xerox.com\/news\/Xerox-increases-offer-price-for-HP\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>boosted its offer<\/strong><\/a><strong> for HP<\/strong> Inc. to <strong>$34 billion<\/strong> (from $22 to $24 a share). <a href=\"https:\/\/en.wikiquote.org\/wiki\/Everett_Dirksen\" target=\"_blank\" rel=\"noopener noreferrer\"><em>A billion here, a billion there, and pretty soon you&#8217;re talking about real money<\/em><\/a>.<\/p>\n<p style=\"text-align: center;\">___<\/p>\n<p><strong>Updated 01\/24\/2020 <\/strong>&#8211; &#8220;<em>People familiar with the matter<\/em>&#8221; are saying the HP share-holder <strong>Xerox<\/strong> plans to <strong>nominate <a href=\"https:\/\/www.crn.com\/slide-shows\/channel-programs\/here-are-the-11-hp-board-hopefuls-that-xerox-has-nominated\/12\" target=\"_blank\" rel=\"noopener noreferrer\">up to 11 people<\/a><\/strong> to the 12-person <strong>HP Inc. board of directors<\/strong> as the next step in its hostile takeover bid of HP, 2019&#8217;s <a href=\"https:\/\/wp.me\/p2wgaW-tdj\" target=\"_blank\" rel=\"noopener noreferrer\">global PC sales leader<\/a>.<\/p>\n<p>In response, <strong>HP<\/strong> publicly <strong>called out billionaire<\/strong> activist <strong>shareholder <a href=\"https:\/\/www.britannica.com\/biography\/Carl-C-Icahn\" target=\"_blank\" rel=\"noopener noreferrer\">Carl Icahn<\/a><\/strong>. In a <a href=\"https:\/\/web.archive.org\/web\/20200123213317\/https:\/\/finance.yahoo.com\/news\/xerox-escalates-hp-takeover-fight-143036570.html\" target=\"_blank\" rel=\"noopener noreferrer\">presser<\/a>, HP claimed Mr. Icahn&#8217;s interests were not aligned with those of other HP shareholders.<em>\u201cDue to Mr. Icahn\u2019s ownership position, he would disproportionately benefit from an acquisition of HP by Xerox at a price that undervalues HP.\u201d <\/em>Mr. Icahn owns about 11% of Xerox and a representative for Icahn wasn&#8217;t immediately available for comment to Yahoo.<\/p>\n<p style=\"text-align: center;\">&#8212;<\/p>\n<p><strong>Updated 12\/10\/2019 &#8211; <\/strong>And the story goes on &#8211; <strong>Xerox<\/strong> CEO John Visentin is <strong>meeting<\/strong> with some <strong>HP shareholders<\/strong> to walk them through the key points of the proposed acquisition. In what it describes as &#8220;undisputed&#8221; logic. <em>ZDNet<\/em> has some of the <a href=\"https:\/\/www.zdnet.com\/article\/xerox-appeals-to-hp-shareholders-to-back-buyout-offer\/\" target=\"_blank\" rel=\"noopener noreferrer\">slides<\/a>.<\/p>\n<p style=\"text-align: center;\">___<\/p>\n<p><strong>Updated 11\/25\/2019 &#8211; <\/strong>This morning, <a href=\"https:\/\/www.crn.com\/news\/components-peripherals\/hp-maintains-opposition-to-xerox-takeover-in-new-letter-setting-up-possible-proxy-battle\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>HP rejected<\/strong> <strong>Xerox&#8217;s follow-up demand<\/strong><\/a> to either agree to formal merger talks otherwise, Xerox would present a &#8220;compelling case&#8221; for a buy-out directly to HP shareholders. Seems a <a href=\"https:\/\/www.investopedia.com\/terms\/p\/proxyfight.asp\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>proxy fight<\/strong><\/a> is brewing with activist contrarian investor <a href=\"https:\/\/www.investopedia.com\/articles\/financial-theory\/08\/carl-icahn-lift.asp\" target=\"_blank\" rel=\"noopener noreferrer\">Carl Icahn<\/a> <a href=\"https:\/\/markets.businessinsider.com\/news\/stocks\/actvist-investor-carl-icahn-announces-support-for-hp-xerox-deal-2019-11-1028689885\" target=\"_blank\" rel=\"noopener noreferrer\">holding shares<\/a> on both sides of the deal.<\/p>\n<p style=\"text-align: center;\">___<\/p>\n<p><strong>Updated 11\/17\/2019 &#8211;\u00a0<\/strong> HP&#8217;s Board of Directors has <a href=\"https:\/\/www.cnn.com\/2019\/11\/17\/tech\/hp-xerox-takeover-rejection\/index.html\" target=\"_blank\" rel=\"noopener noreferrer\">unanimously rejected<\/a> Xerox&#8217;s bid to acquire HP. According to reports,\u00a0<strong><a title=\"Xerox\" href=\"http:\/\/www.xerox.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Xerox<\/a><\/strong> (<a title=\"NYSE | XRX\" href=\"https:\/\/www.tradingview.com\/symbols\/NASDAQ-XRX\/\" target=\"_blank\" rel=\"noopener noreferrer\">XRX<\/a>) sent a buyout proposal to HP Inc. on November 5. The PC giant confirmed the offer on 11\/06\/2019. HP issued a vague statement that reads in part;<\/p>\n<p style=\"text-align: justify; padding-left: 30px;\"><em><a href=\"https:\/\/www.xerox.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-111524 size-thumbnail\" title=\"Xerox logo\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111-75x72.png?resize=75%2C72&#038;ssl=1\" alt=\"Xerox logo\" width=\"75\" height=\"72\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?resize=75%2C72&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?resize=150%2C144&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?resize=768%2C738&amp;ssl=1 768w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?resize=1024%2C984&amp;ssl=1 1024w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?w=1028&amp;ssl=1 1028w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/xerox-logo-1-e1573167118111.png?w=960&amp;ssl=1 960w\" sizes=\"auto, (max-width: 75px) 100vw, 75px\" \/><\/a>&#8230; we have had conversations with Xerox Holdings Corporation (XRX) from time to time about a potential business combination. &#8230; We have a record of taking action if there is a better path forward and will continue to act with deliberation, discipline, and an eye towards what is in the best interest of all our shareholders.<\/em><\/p>\n<p>The ambiguous <a title=\"HP\" href=\"http:\/\/www.hp.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">HP<\/a> (<a title=\"NYSE : HPQ\" href=\"https:\/\/www.nyse.com\/quote\/XNYS:HPQ\" target=\"_blank\" rel=\"noopener noreferrer\">HPQ<\/a>) statement may be a ploy to bring <strong>additional bidders<\/strong> to the negotiating table. Norwalk, CT-based Xerox is <a href=\"https:\/\/www.reuters.com\/article\/us-hp-m-a-xerox-hlngs\/xerox-considers-takeover-offer-for-pc-maker-hp-wsj-idUSKBN1XG0EQ\" target=\"_blank\" rel=\"noopener noreferrer\">reportedly backed<\/a> by Citigroup Inc. <a href=\"https:\/\/www.crn.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><em>CRN<\/em><\/a> reports that Xerox is set to gain $2.3 billion by <a href=\"https:\/\/www.crn.com\/news\/channel-programs\/xerox-reaps-2-3-billion-in-sale-of-fuji-xerox-stake\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">selling its 25% stake<\/a> in the Fujifilm Xerox joint venture.<\/p>\n<p><a href=\"https:\/\/www.hp.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-111525 size-thumbnail\" title=\"HP logo\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/hp_logo-2.png?resize=75%2C75&#038;ssl=1\" alt=\"HP logo\" width=\"75\" height=\"75\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/hp_logo-2.png?resize=75%2C75&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/hp_logo-2.png?resize=150%2C150&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/hp_logo-2.png?w=750&amp;ssl=1 750w\" sizes=\"auto, (max-width: 75px) 100vw, 75px\" \/><\/a><a href=\"https:\/\/www.bloomberg.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><em>Bloomberg<\/em><\/a> <a href=\"https:\/\/www.bloomberg.com\/opinion\/articles\/2019-11-06\/xerox-deal-for-hp-would-be-a-license-to-print-money\" target=\"_blank\" rel=\"noopener noreferrer\">claims<\/a> that <strong>remaining independen<\/strong>t is only going to become more d<strong>ifficult for both HP and Xerox<\/strong>. Gartner predicts that global printer shipments set to <strong>decline<\/strong> by 2% annually through 2023. Teaming up would <strong>reduce costs and competition<\/strong> in the segments where they overlap; HP is generally stronger in the market for smaller printers, while Xerox holds the lead in larger ones. That could boost profitability even as revenue stagnates.<\/p>\n<p class=\"cn-impacted\">A Xerox-HP merger would result in <strong>significant job reductions<\/strong> around the world as the new company would seek to cut costs through the <strong>elimination of back-end costs<\/strong> associated with supply chain, finance, HR, and other OPEX expenses. The impact on the two companies\u2019 respective <a href=\"https:\/\/channelnomics.com\/channelnomics-dictionary\/channel\/\"><strong>channels<\/strong><\/a> would be most felt in the printer segment, where there\u2019s the greatest overlap. Another likely outcome is the spin-off of HP\u2019s 3D printing division, which is not core to either of the companies.<\/p>\n<p class=\"cn-background\"><b>So how did we get here?<\/b> <strong>Xerox<\/strong> is still finding its way after splitting from its <a href=\"https:\/\/web.archive.org\/web\/20201124143853\/https:\/\/channelnomics.com\/channelnomics-dictionary\/professional-services\/\"><strong>professional services<\/strong><\/a> business in 2016, which formed the new business <a href=\"https:\/\/www.conduent.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Conduent<\/a>, and the failed <a href=\"https:\/\/www.latimes.com\/business\/hiltzik\/la-fi-hiltzik-xerox-20180213-story.html\" target=\"_blank\" rel=\"noopener noreferrer\">merger<\/a> with <a href=\"https:\/\/web.archive.org\/web\/20200628173323\/https:\/\/www.fujifilmusa.com\/index.html\" target=\"_blank\" rel=\"noopener noreferrer\">FujiFilm<\/a> in 2018. Xerox relies on a dying business for the bulk of its sales and profit. It <strong>sells and services copy machines and printers<\/strong>, primarily for<strong> corporations<\/strong>. But sales are falling, <a href=\"https:\/\/www.macrotrends.net\/stocks\/charts\/XRX\/xerox\/revenue\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>declining for the past seven quarters<\/strong><\/a>.<\/p>\n<p><strong>HP<\/strong> announced plans to <strong><a href=\"https:\/\/web.archive.org\/web\/20211024222041\/https:\/\/searchenterprisedesktop.techtarget.com\/news\/252471883\/HP-Inc-laying-off-up-to-9000-workers-in-latest-reorg-plan\" target=\"_blank\" rel=\"noopener noreferrer\">reduce headcount<\/a> by as much as 9,000<\/strong>, or 16% of its 55,000 employees. The staff reductions, through layoffs and voluntary early retirement, are expected to be completed by the fiscal year 2022. In June 2018, the company <strong>laid off 5,000 employees<\/strong> over several months.<\/p>\n<p><a href=\"https:\/\/web.archive.org\/web\/20201203203206\/https:\/\/www.evan360.com\/the-fix-for-hp-printers-broken-by-windows-update\/\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-111528\" title=\"HP's struggles in the printer and printer supplies business\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/printer_broken.png?resize=100%2C87&#038;ssl=1\" alt=\"HP's struggles in the printer and printer supplies business\" width=\"100\" height=\"87\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/printer_broken.png?resize=150%2C131&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/printer_broken.png?resize=75%2C65&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/printer_broken.png?resize=768%2C669&amp;ssl=1 768w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/printer_broken.png?w=827&amp;ssl=1 827w\" sizes=\"auto, (max-width: 100px) 100vw, 100px\" \/><\/a>While HP appears to be holding its own in the <strong>PC space<\/strong> &#8212; both Gartner and IDC place HP Inc. in <a href=\"https:\/\/venturebeat.com\/2019\/10\/10\/pc-shipments-grew-in-q3-2019-thanks-to-windows-10-refresh\/\" target=\"_blank\" rel=\"noopener noreferrer\">second place<\/a> behind Lenovo for unit shipments as of this 2019 Q2. HP&#8217;s ongoing <a href=\"https:\/\/www.crn.com\/news\/components-peripherals\/hp-reports-drop-in-printer-supplies-revenue-as-commercial-sales-shift-online\" target=\"_blank\" rel=\"noopener noreferrer\">s<strong>truggles in the printer and printer supplies<\/strong> business<\/a>, where HP has long been the market leader, has been under stress from third-party suppliers selling toner and ink at significantly lower prices. <a href=\"https:\/\/web.archive.org\/web\/20211024222041\/https:\/\/searchenterprisedesktop.techtarget.com\/news\/252471883\/HP-Inc-laying-off-up-to-9000-workers-in-latest-reorg-plan\" target=\"_blank\" rel=\"noopener noreferrer\">Reports<\/a> are that HP&#8217;s printer business accounts for a whopping 75% of its total profits and roughly half of its total revenues.<\/p>\n<p>Xerox started in 1906 as the <strong>Haloid Photographic Co<\/strong>. The photographic supply company in Rochester, NY, paved its way to mega-success in March <strong>1960,<\/strong> when it <a href=\"https:\/\/web.archive.org\/web\/20221129225745\/https:\/\/www.cnn.com\/2010\/TECH\/03\/30\/xerox.copier.turns.50\/index.html\" target=\"_blank\" rel=\"noopener noreferrer\">shipped its <strong>first office copier<\/strong><\/a>. The Haloid Xerox contraption was the size of two washing machines and weighed 648 pounds. It also occasionally caught on fire. The Xerox copier&#8217;s core technology -\u2014 a <strong>process called xerography<\/strong>, invented by Chester Carlson \u2014 is still widely used in copy machines five decades later.<\/p>\n<p>HP traces its origins to 1938 when <strong>Bill Hewlett and Dave Packard<\/strong> rented a garage in Palo Alto, CA. That year, they invented their first product: the<strong> HP Model 200A<\/strong>, an audio oscillator used to test sound equipment. The company became the pioneer of Silicon Valley, building its <strong>first computer in 1966<\/strong> and the famous <strong>HP-35 in 1972<\/strong> \u2014 the world&#8217;s first hand-held scientific calculator. Hewlett-Packard, <a href=\"https:\/\/techcrunch.com\/2014\/10\/06\/hp-splitting-into-two-companies\/\">split into two companies<\/a> in 2014. HP Inc. got printers and PCs. HP Enterprise got servers and enterprise software.<\/p>\n<p><strong><em>rb-<\/em><\/strong><br \/>\n<em><a href=\"https:\/\/www.marketwatch.com\/story\/xerox-considers-acquiring-hp-but-here-are-all-the-reasons-you-printer-is-gathering-dust-2019-11-07\" target=\"_blank\" rel=\"noopener noreferrer\">Marketwatch<\/a> has some good data on why these firms are planning to hook up. They write that globally consumers will print 210 billion pages, down 20% from 2015. In 2018, U.S. consumers printed an average of 38.4 pages a month, down 40 pages per month in 2017.
