The Santa Clara, CA-based communications company filed for <strong>chapter 11<\/strong> protection on January 19th, 2017 in the U.S. Bankruptcy Court for the <a title=\"United States District Court for the Southern District of New York\" href=\"http:\/\/nysd.uscourts.gov\/\" target=\"_blank\" rel=\"homepage nofollow noopener noreferrer\">Southern District of New York<\/a>. Reports are that <a href=\"https:\/\/www.avaya.com\/en\/products\/\" target=\"_blank\" rel=\"noopener noreferrer\">Avaya<\/a> faced an end of <strong>January deadline<\/strong> to reach agreements with creditors to address its <strong>$6.3 billion debt<\/strong> or potentially default.<\/p>\n<p><a href=\"https:\/\/www.avaya.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-100221 size-thumbnail\" title=\"Avaya logo\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/avaya_logo.png?resize=75%2C52&#038;ssl=1\" alt=\"Avaya logo\" width=\"75\" height=\"52\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/avaya_logo.png?resize=75%2C52&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/avaya_logo.png?resize=150%2C104&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/avaya_logo.png?w=460&amp;ssl=1 460w\" sizes=\"auto, (max-width: 75px) 100vw, 75px\" \/><\/a>The company&#8217;s presser announcing the bankruptcy characterizes the decision to seek Chapter 11 as a necessary re-do on deals made a decade ago. The company was spun off from <strong><a href=\"http:\/\/www.referenceforbusiness.com\/businesses\/G-L\/Lucent-Technologies.html\" target=\"_blank\" rel=\"noopener noreferrer\">Lucent<\/a><\/strong>, a former <strong>AT&amp;T<\/strong> unit, in 2000. Avaya went private in 2007 when <strong>private equity firms<\/strong> <a title=\"Silver Lake Partners\" href=\"http:\/\/www.silverlake.com\/\" target=\"_blank\" rel=\"homepage nofollow noopener noreferrer\">Silver Lake Partners<\/a> and the <a title=\"TPG Capital\" href=\"http:\/\/en.wikipedia.org\/wiki\/TPG_Capital\" target=\"_blank\" rel=\"nofollow noopener wikipedia noreferrer\">Texas Pacific Group<\/a> took over the firm for $8.2 billion. Avaya was set up as a <strong>leveraged buyout<\/strong> \u2013 loaded with debt. At the time the new owners said going private would help Avaya to accelerate product development. In 2009 Avaya scooped up the <a href=\"https:\/\/rbach.net\/index.php\/nortel-declares-bankruptcy\/\" target=\"_blank\" rel=\"noopener noreferrer\">remnants<\/a> of <strong>Nortel <\/strong>for $900m.<\/p>\n<p>The Nortel acquisition added Ethernet switching and VoIP to Avaya&#8217;s portfolio. While the move added needed hardware to the Avaya portfolio the rest of the tech world started the shift towards <strong>software-as-a-service<\/strong> and the <strong>cloud<\/strong>. Avaya was not able to digest Nortel while taking on Cisco, Microsoft, and the cloud at the same time.<\/p>\n<p><a href=\"http:\/\/www.nojitter.com\/post\/240172274\/avaya-bankruptcy-good-or-bad-for-customers\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-100223\" title=\"$6.3 billion debt\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/worried.png?resize=63%2C88&#038;ssl=1\" alt=\"$6.3 billion debt\" width=\"63\" height=\"88\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/worried.png?resize=54%2C75&amp;ssl=1 54w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/worried.png?resize=109%2C150&amp;ssl=1 109w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/worried.png?w=521&amp;ssl=1 521w\" sizes=\"auto, (max-width: 63px) 100vw, 63px\" \/><\/a>Avaya was both late with VoIP and Unified Communications. Neither Microsoft nor Cisco were competitors in the TDM\/PBX era. <strong>Cisco<\/strong> joined the race with <strong>VoIP<\/strong> and <strong>Microsoft<\/strong> then came along with <strong>Unified Communications<\/strong>. Both have tremendous enterprise penetration and brand recognition.<\/p>\n<p>The pressure forced Avaya to consider selling its crown jewel, its <strong>contact center<\/strong> products to <strong><a href=\"http:\/\/www.genesys.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Genesys<\/a><\/strong> in 2016, in the hope it would raise some cash. When the deal with Genesys fell through, Avaya decided to file for bankruptcy. Avaya CEO <a title=\"Kevin Kennedy\" href=\"https:\/\/en.wikipedia.org\/wiki\/Kevin_J._Kennedy\" target=\"_blank\" rel=\"crunchbase nofollow noopener noreferrer\">Kevin Kennedy<\/a> said in a statement, \u201c<em>\u2026chapter 11 is the best path forward at this time.<\/em>&#8221;<\/p>\n<p>In order to keep the lights on during the reorganization, the company has secured a $725 million loan underwritten by Citibank.<\/p>\n<p>As part of its debt load, Avaya owes its pensioners $1.7 billion in unfunded pension liabilities. <a href=\"http:\/\/www.nojitter.com\/post\/240172274\/avaya-bankruptcy-good-or-bad-for-customers\" target=\"_blank\" rel=\"noopener noreferrer\">According<\/a> to <a href=\"https:\/\/www.nojitter.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><em>NoJitter<\/em><\/a> Avaya will honor it obligations to maintain and continue the pension (as did GM in its reorganization).<\/p>\n<p>Chapter 11 only impacts Avaya&#8217;s United States operations. In the rest of the world, the company is moving to assure customers and stakeholders that it&#8217;s business as usual.<\/p>\n<p><strong><em>Rb-<\/em><\/strong><br \/>\n<em>My experience is that the Avaya IP Office product is way over-priced, even in a bid environment. Why would anyone buy an Avaya Ethernet switch or access point when you can get a Cisco or an HP?<\/em><\/p>\n<p><em>So what is to become of Avaya? One likely outcome is that all of the business units will be sold off to satisfy the creditors.
