They cite reports from <em><a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2019-08-19\/avaya-is-said-to-get-bid-from-rival-telecom-gear-vendor-mitel\" target=\"_blank\" rel=\"noopener noreferrer\">Bloomberg<\/a><\/em> that Avaya is considering a bid by Mitel and <a href=\"https:\/\/www.reuters.com\/article\/us-avaya-hldg-m-a-cd-r\/avaya-considers-outright-sale-as-alternative-to-mitel-merger-sources-idUSKCN1VA1JH\" target=\"_blank\" rel=\"noopener noreferrer\">Reuters is reporting<\/a> that Avaya is considering an all-cash offer from private equity firm <a href=\"https:\/\/www.cdr-inc.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Clayton Dubilier &amp; Rice<\/a>.<\/p>\n<p><em>Channel Partners<\/em> speculates that the Mitel-Avaya deal would &#8220;<em>&#8230;result in a company with a market share that would rival key industry players Cisco and Microsoft<\/em>.\u201d<\/p>\n<p style=\"text-align: center;\">&#8212;<\/p>\n<p><strong><a href=\"https:\/\/www.channelfutures.com\/mergers-and-acquisitions\/avaya-sale-rumors-spark-questions-about-company-future\" target=\"_blank\" rel=\"- avaya hook mitel up? noopener noreferrer\"><\/a><\/strong><strong>Avaya buy-out rumors<\/strong> are back. Last month it was <a href=\"https:\/\/wp.me\/p2wgaW-nxh\" target=\"_blank\" rel=\"noopener noreferrer\">thought<\/a> that a PE firm, <a href=\"https:\/\/www.uctoday.com\/unified-communications\/mitel-make-a-bid-for-avaya\/\" target=\"_blank\" rel=\"noopener noreferrer\">possibly<\/a> <a href=\"https:\/\/www.searchlightcap.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Searchlight Capital Partners<\/a> was going to buy <a href=\"https:\/\/www.avaya.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Avaya<\/a>. The unknown <strong>private equity firm<\/strong> valued Avaya at more than $5 billion, including debt.<\/p>\n<p><a href=\"https:\/\/web.archive.org\/web\/20201128031328\/https:\/\/www.channelpartnersonline.com\/gallery\/the-cp-list-20-top-ucaas-providers-you-should-know\/\" target=\"_blank\" rel=\"avaya mitel acquire is looking noopener to noreferrer\"><\/a>The newest report is that Ottawa-based <a href=\"https:\/\/www.techopedia.com\/definition\/29907\/unified-communications-as-a-service-ucaas\" target=\"_blank\" rel=\"noopener noreferrer\">Unified-Communications-as-a-Service<\/a> provider <strong><a href=\"https:\/\/www.mitel.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Mitel<\/a> is looking to acquire Avaya<\/strong> in an all-stock merger valued at between $2.2 billion and $2.4 billion, <a href=\"https:\/\/www.wsj.com\/articles\/mitel-offers-to-combine-with-avaya-in-stock-deal-worth-more-than-2-billion-11556213302\" target=\"_blank\" rel=\"noopener noreferrer\">according<\/a> to <a href=\"https:\/\/www.wsj.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><em>The Wall Street Journal<\/em><\/a>.<\/p>\n<p>The reported deal would value communications equipment and software provider Avaya at $20 to $22 per share, a premium based on its current stock price of about $18 per share on Monday 04\/29\/2019. If Avaya and Mitel are able to strike a deal, the merger could happen as soon as next month, the <em>WSJ<\/em> said, citing mysterious people familiar with the matter.<\/p>\n<p><a href=\"https:\/\/web.archive.org\/web\/20240405003225\/https:\/\/www.acousticfacts.com\/what-think-about-you-buy-products\" target=\"_blank\" rel=\"uc against compete competitors larger noopener their noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright\" title=\"compete against their larger UC competitors\" src=\"https:\/\/i0.wp.com\/www.acousticfacts.com\/sites\/default\/files\/styles\/two_column_image\/public\/big-vs-small.png?resize=137%2C85&#038;ssl=1\" alt=\"compete against their larger UC competitors\" width=\"137\" height=\"85\" \/><\/a><a href=\"https:\/\/www.crn.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><em>CRN<\/em><\/a> <a href=\"https:\/\/www.crn.com\/news\/networking\/report-mitel-avaya-could-come-together-in-deal-valued-at-over-2-billion\" target=\"_blank\" rel=\"noopener noreferrer\">says<\/a> that the Avaya-Mitel deal could help the two companies <strong>compete against their larger UC competitors<\/strong>. Mitel typically plays well in the small to midsize market, while Avaya has a large install base of enterprise customers because of its legacy in the UC hardware arena.<\/p>\n<p><a href=\"https:\/\/web.archive.org\/web\/20230803191914\/https:\/\/www.nojitter.com\/author\/zeus-kerravala\" target=\"_blank\" rel=\"noopener noreferrer\">Zeus Kerravala<\/a> at <em><a href=\"https:\/\/www.nojitter.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">NoJitter<\/a><\/em> <a href=\"https:\/\/www.nojitter.com\/unified-communications-collaboration\/why-mitel-avaya-merger-would-be-good-industry\" target=\"_blank\" rel=\"noopener noreferrer\">points out<\/a> that the reported $2 billion purchase price doesn\u2019t into account <strong>Avaya&#8217;s roughly $3 billion in debt<\/strong>. With debt included, the offer would have to come in for a total enterprise value of $5 billion to be of interest to shareholders.<\/p>\n<p>Mr. Kerravala believes that a successful merger between Avaya and Mitel would create a behemoth of a company, bringing the number two and number three voice vendors together. He cites <a href=\"https:\/\/www.srgresearch.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Synergy Research Group<\/a> data that shows <a href=\"http:\/\/www.cisco.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Cisco<\/a> (<a href=\"https:\/\/www.tradingview.com\/symbols\/NASDAQ-CSCO\/\" target=\"_blank\" rel=\"noopener noreferrer\">CSCO<\/a>) the leader with about 44% market share, Avaya second at 10%, and Mitel third at 8%. He believes a combined Avaya and Mitel would hold the <strong>industry\u2019s biggest installed base<\/strong>.<\/p>\n<div style=\"width: 431px\" class=\"wp-caption aligncenter\"><a href=\"https:\/\/www.nojitter.com\/unified-communications-collaboration\/why-mitel-avaya-merger-would-be-good-industry\" target=\"_blank\" rel=\"synergy enterprise estimate market noopener share voice noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" title=\"Synergy enterprise voice market share estimate\" src=\"https:\/\/i0.wp.com\/www.nojitter.com\/sites\/default\/files\/Synergy.png?resize=421%2C177&#038;ssl=1\" alt=\"Synergy enterprise voice market share estimate\" width=\"421\" height=\"177\" \/><\/a><p class=\"wp-caption-text\">Source: Synergy Research Group<\/p><\/div>\n<p>The merger would also be beneficial as the industry becomes more <a href=\"https:\/\/www.britannica.com\/technology\/artificial-intelligence\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>artificial intelligence<\/strong><\/a> <a href=\"https:\/\/callminer.com\/blog\/comprehensive-history-ai-call-center-acds-predictive-analytics-beyond\/#FutureofAI\" target=\"_blank\" rel=\"noopener noreferrer\">(AI)-centric<\/a>, data and scale are must-haves. Mr. Kerravala believes Avaya and Mitel are stronger together than apart on AI. That said, if a deal doesn\u2019t happen, the companies should still be fine continuing down their current trajectories, optimizing their internal resources while leveraging partners for AI. They can still do this, although it would be <strong>easier as a bigger company<\/strong>.<\/p>\n<p><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-112709 size-full\" title=\"private equity firm Searchlight Capital Partners\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Merger-4-e1629060973882.png?resize=98%2C65&#038;ssl=1\" alt=\"private equity firm Searchlight Capital Partners\" width=\"98\" height=\"65\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Merger-4-e1629060973882.png?w=98&amp;ssl=1 98w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Merger-4-e1629060973882.png?resize=75%2C50&amp;ssl=1 75w\" sizes=\"auto, (max-width: 98px) 100vw, 98px\" \/>An investment group led by private equity firm <strong>Searchlight Capital Partners acquired Mitel<\/strong> in April 2018 with a $2.6 billion deal that took the company private. Mitel has a history of growing via acquisitions. In 2017 the company completed the <a href=\"https:\/\/techcrunch.com\/2017\/07\/27\/mitel-to-buy-shoretel-for-430-million-to-create-unified-communications-powerhouse\/\" target=\"_blank\" rel=\"noopener noreferrer\">acquisition of competing UC provider<\/a> <a href=\"https:\/\/en.wikipedia.org\/wiki\/ShoreTel\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>ShoreTel<\/strong><\/a> for $530 million. The move helped Mitel become one of the largest UCaaS providers in the world. The company <a href=\"https:\/\/www.polycom.com\/company\/news\/press-releases\/2016\/20160708.html\" target=\"_blank\" rel=\"noopener noreferrer\">lost out<\/a> on its deal to acquire videoconferencing provider <strong>Polycom<\/strong> in 2016 to <a href=\"https:\/\/web.archive.org\/web\/20180809061503\/http:\/\/siriscapital.co\/\" target=\"_blank\" rel=\"noopener noreferrer\">Siris Capital Group<\/a>.<\/p>\n<p><em><strong>rb-<\/strong><\/em><\/p>\n<p><em>This is just more of the same for Avaya. The crowning jewel in this deal is Avaya&#8217;s corporate call center business.
