{"id":97784,"date":"2019-08-08T21:31:34","date_gmt":"2019-08-09T01:31:34","guid":{"rendered":"https:\/\/rbach.net\/?p=97784"},"modified":"2021-06-28T07:28:44","modified_gmt":"2021-06-28T11:28:44","slug":"symantec-sold","status":"publish","type":"post","link":"https:\/\/rbach.net\/index.php\/symantec-sold\/","title":{"rendered":"Symantec Sold"},"content":{"rendered":"<p><strong>Updated 01\/08\/2020<\/strong> &#8211; Broadcom is <strong>selling of<\/strong>f parts Symantec less than 2 months after closing the deal. <a href=\"https:\/\/www.sdxcentral.com\/articles\/news\/broadcom-sells-accenture-symantec-security-services-biz\/2020\/01\/\" target=\"_blank\" rel=\"noopener noreferrer\">Reports<\/a> have consulting giant <a href=\"https:\/\/www.accenture.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Accentur<\/strong>e<\/a> buying <strong><a href=\"https:\/\/www.symantec.com\/services\/cyber-security-services\" target=\"_blank\" rel=\"noopener noreferrer\">Symantec\u2019s Cyber Security Services<\/a><\/strong> unit for an undisclosed amount.<\/p>\n<p>Under the deal, Accenture will take over Symantec&#8217;s global network of six <strong>security operations centers<\/strong> located in the U.S., the U.K., India, Australia, Singapore, and Japan. The SOC&#8217;s provide<strong> threat monitoring, analysis, and incident response services<\/strong>.\u00a0Accenture says it will use the Symantec business unit to boost its <strong>managed security services.<\/strong><\/p>\n<p style=\"text-align: center;\">&#8212;<\/p>\n<p><strong>Updated 09\/17\/2019 &#8211; <\/strong>As predicted below, Symantec has started slashing jobs. In their <a href=\"https:\/\/go.forrester.com\/blogs\/broadcom-buys-symantecs-enterprise-biz-good-news-for-investors-bad-news-for-enterprises\/\" target=\"_blank\" rel=\"noopener noreferrer\" data-saferedirecturl=\"https:\/\/www.google.com\/url?q=https:\/\/go.forrester.com\/blogs\/broadcom-buys-symantecs-enterprise-biz-good-news-for-investors-bad-news-for-enterprises\/&amp;source=gmail&amp;ust=1566086055737000&amp;usg=AFQjCNHVUqmXQ9O4iztDHVvxlS5Wn9q1Kg\">report<\/a> analyzing the deal, the market researcher cited\u00a0<strong><a href=\"https:\/\/web.archive.org\/web\/20210924212357\/https:\/\/searchsecurity.techtarget.com\/news\/450303973\/Intel-Security-sale-finalized-McAfee-brand-resurrected\" target=\"_blank\" rel=\"noopener noreferrer\" saferedirecturl=\"https:\/\/www.google.com\/url?q=https:\/\/searchsecurity.techtarget.com\/news\/450303973\/Intel-Security-sale-finalized-McAfee-brand-resurrected&amp;source=gmail&amp;ust=1566086055737000&amp;usg=AFQjCNEt8kP23TWZGIEdH30P1HhHrDVjMg\">Intel&#8217;s 2010 acquisition of McAfee<\/a><\/strong> and subsequent $3 billion loss spinning the security company to private equity in 2016. They said the deal should serve as a warning to CISO&#8217;s about the future of Symantec&#8217;s product portfolio under Broadcom. Well <strong>NO DUH<\/strong><\/p>\n<p style=\"text-align: center;\">&#8212;<\/p>\n<p><a title=\"Broadcom\" href=\"https:\/\/www.broadcom.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Broadcom<\/strong><\/a> (<a href=\"https:\/\/www.tradingview.com\/symbols\/NASDAQ-AVGO\/\" target=\"_blank\" rel=\"noopener noreferrer\">AVGO<\/a>) <strong>has acquired <a title=\"Symantec\" href=\"https:\/\/securitycloud.symantec.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Symantec<\/a><\/strong>&#8216;s (<a title=\"NASDAQ : SYMC\" href=\"https:\/\/wp.me\/p2wgaW-pra\" target=\"_blank\" rel=\"noopener noreferrer\">SYMC<\/a>) <strong>enterprise security business<\/strong> for <span class=\"xn-money\">$10.7 billion<\/span> in cash. The two firms consummated their <a href=\"https:\/\/www.channele2e.com\/investors\/broadcom-symantec-end-acquisition-talks\/\" target=\"_blank\" rel=\"noopener noreferrer\">hot-and-cold<\/a> <del>bromance<\/del> M&amp;A discussions in <a href=\"https:\/\/www.prnewswire.com\/news-releases\/broadcom-to-acquire-symantec-enterprise-security-business-for-10-7-billion-in-cash-300899102.html\" target=\"_blank\" rel=\"noopener noreferrer\">writing<\/a> today (08\/08\/2018).<\/p>\n<p><a href=\"https:\/\/securitycloud.symantec.com\/\" target=\"_blank\" rel=\"noopener noreferrer\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-99848 size-thumbnail\" title=\"Symantec logo\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Symantec-Logo-e1565316762237-75x69.jpg?resize=75%2C69&#038;ssl=1\" alt=\"Symantec logo\" width=\"75\" height=\"69\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Symantec-Logo-e1565316762237.jpg?resize=75%2C69&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Symantec-Logo-e1565316762237.jpg?resize=150%2C138&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Symantec-Logo-e1565316762237.jpg?w=760&amp;ssl=1 760w\" sizes=\"auto, (max-width: 75px) 100vw, 75px\" \/><\/a>The deal is expected to bring in over <a href=\"https:\/\/www.usnews.com\/news\/business\/articles\/2019-08-08\/broadcom-to-buy-symantecs-enterprise-business-for-107b\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>$2 billion in annual revenue<\/strong><\/a> for the San Jose, CA-base firm. Broadcom intends to fund the transaction with proceeds from new committed debt financing. The transaction is expected to close in Q1 of Broadcom&#8217;s fiscal year 2020.<\/p>\n<p>Broadcom, historically a semiconductor business has been on an M&amp;A tear in the past few years, <strong>buying its way into a broader market position<\/strong>. First, with the <a href=\"https:\/\/www.theregister.co.uk\/2017\/11\/20\/broadcomm_brocade_acquisition_completes\/\" target=\"_blank\" rel=\"noopener noreferrer\">2016 &#8211; $5.9 billion purchase<\/a> of <strong>network equipment vendor <a href=\"https:\/\/markets.businessinsider.com\/news\/stocks\/broadcom-completes-acquisition-of-brocade-communications-systems-512369\" target=\"_blank\" rel=\"noopener noreferrer\">Brocade<\/a><\/strong>. Next was the 2018 &#8211; <a href=\"https:\/\/www.datacenterknowledge.com\/deals\/broadcom-tanks-after-189-billion-ca-purchase-puzzles-market\" target=\"_blank\" rel=\"noopener noreferrer\">$18.9 billion acquisition<\/a> of <a href=\"https:\/\/en.wikipedia.org\/wiki\/CA_Technologies\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>CA Technologies<\/strong><\/a>. Followed by today&#8217;s <span class=\"xn-money\">$10.7 billion pick-up of Symantec.<\/span> In the presser Broadcom CEO Hock Tan called the Symantec purchase, &#8220;.<em>.. the next logical step in our strategy &#8230; expanding our footprint of mission-critical infrastructure software within our core Global 2000 customer base.<\/em>&#8221;<\/p>\n<p><a href=\"https:\/\/www.broadcom.com\/\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-99849 \" title=\"Broadcom logo\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Broadcom_kogo.jpg?resize=141%2C75&#038;ssl=1\" alt=\"Broadcom logo\" width=\"141\" height=\"75\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Broadcom_kogo.jpg?resize=150%2C80&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Broadcom_kogo.jpg?resize=75%2C40&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/Broadcom_kogo.jpg?w=480&amp;ssl=1 480w\" sizes=\"auto, (max-width: 141px) 100vw, 141px\" \/><\/a>Rumors of the purchase first appeared in the press on July 03, 2019, with &#8220;advanced talks&#8221; happening on July 15th for purchase all of Symantec for $22 Billion, but by July 15, Symantec had reportedly <strong>walked away<\/strong> from the table. <a href=\"https:\/\/www.channele2e.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">Reports<\/a> (<em>which appear to be true<\/em>) at the time were that Broadcom was after just the enterprise-cybersecurity software business; leaving the consumer the business as an independent company or a spin-off to somebody else.<\/p>\n<p><em><a href=\"https:\/\/www.channele2e.com\/\" target=\"_blank\" rel=\"noopener noreferrer\">ChannelE2E<\/a><\/em> <a href=\"https:\/\/www.channele2e.com\/news\/broadcom-acquiring-symantec\/\" target=\"_blank\" rel=\"noopener noreferrer\">says<\/a> the potential deal makes sense on paper. <strong>Broadcom<\/strong> is known for <strong>acquiring struggling<\/strong> or slow-growth enterprise technology businesses, <strong>stripping out costs and boosting profitability<\/strong>. They explain that Broadcom\u2019s secret to M&amp;A success is clearly communicating staff reduction plans to acquired businesses, investors, and associated end customers. Broadcom is known for swift M&amp;A staff cuts that include reasonable severance packages for employees \u2014 rather than long, drawn-out, torturous headcount reductions.<\/p>\n<p><em><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" class=\"alignright wp-image-99850\" src=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?resize=141%2C94&#038;ssl=1\" alt=\"\" width=\"141\" height=\"94\" srcset=\"https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?resize=150%2C100&amp;ssl=1 150w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?resize=75%2C50&amp;ssl=1 75w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?resize=768%2C512&amp;ssl=1 768w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?w=1024&amp;ssl=1 1024w, https:\/\/i0.wp.com\/rbach.net\/wp-content\/uploads\/money_bags-1.jpg?w=960&amp;ssl=1 960w\" sizes=\"auto, (max-width: 141px) 100vw, 141px\" \/>ChannelE2E<\/em> also correctly predicted the Symantec team could face job cuts, layoffs, or potential business spin-offs as a result of the deal. Right on queue, Symantec <a href=\"https:\/\/www.channele2e.com\/business\/talent\/symantec-layoffs-fiscal-year-2020\/\" target=\"_blank\" rel=\"noopener noreferrer\">announced<\/a> <strong>layoffs of roughly 7%<\/strong> of its more than <a href=\"https:\/\/web.archive.org\/web\/20191009143814\/https:\/\/www.symantec.com\/about\/corporate-profile\" target=\"_blank\" rel=\"noopener noreferrer\">11,000 employees<\/a> during FY 2020. The company also plans to downsize, vacate or close certain facilities and data centers in connection with the restructuring plan.<\/p>\n<p>The\u00a0<a href=\"https:\/\/www.crn.com\/news\/security\/broadcom-symantec-halt-acquisition-negotiations-report\" target=\"_self\" rel=\"noopener noreferrer\" shape=\"rect\">Symantec name<\/a> will be sold to Broadcom as part of the transaction. <strong>Interim Symantec CEO<\/strong> Rick Hill said the remaining consumer business contributed 90% of the company&#8217;s total operating income, and the company expects to be able to continue to grow revenue for its Norton LifeLock business in the mid-single digits going forward. Former <strong>CEO<\/strong> Greg Clark <strong>resigned<\/strong> in May 2019 amid weak enterprise cybersecurity software revenues. Executive team departures over the past year have also included Symantec\u2019s <strong>CFO<\/strong>, <strong>chief operating officer<\/strong>, <strong>chief marketing officer<\/strong> and the <strong>head of its go-to-market<\/strong> teams. Intel and McAfee tried this nearly a decade ago. Intel purchased top Symantec competitor McAfee for $7.7 billion. The expected &#8220;synergies&#8221; (WTF that means) never materialized.
