Barracuda Networks Has Been Bought

Barracuda Networks Has Been BoughtWhile the massive Equifax data breach is still fresh in everyone’s minds and the cybersecurity workforce is expected to be short nearly 2 million people. IT security expenditures to top $1 Trillion by 2022. Private equity giant Thoma Bravo, LLC has jumped back into the IT security market with both feet. Barracuda Networks has been bought by the private equity firm in a deal that’s valued at $1.6 billion.

BarracudaBarracuda (CUDA) sells appliance and cloud-based cybersecurity and data protection services. Clients include; Boeing, Microsoft and the U.S. Department of Defense. Barracuda says it has over 150,000 customers. Upon the close of the transaction, Barracuda will operate as a privately held company.

Barracuda Network was founded in Ann Arbor, Michigan in 2003. From Ann Arbor, it raised at least $46 million in venture funding prior to its IPO. CUDA went public on the New York Stock Exchange in November 2013, pricing its IPO at $18. Barracuda acquired Yosemite Technologies in 2009 to expand its offerings into the storage market.

Barracuda NexGen FirewallBarracuda continued to innovate in the run-up to its acquisition. eWeek reports that in March 2017, Barracuda debuted new data backup and recovery capabilities for VMware and Microsoft virtual machines. In June 2017 Barracuda announced its new Sentinel service. The service uses artificial intelligence (AI) and container-based technologies to improve email security.

Barracuda also enhanced its network security products and services in 2017. eWeek reported in November that the company expanded the cloud capabilities for its Web Application Firewall (WAF) and NexGen Firewall products. The new capabilities include usage-based billing for the NextGen firewall running in the Amazon Web Services (AWS) cloud. The firewall included automated configuration capabilities for the WAF, thanks to an integration with the Puppet DevOps tool.

CEO BJ Jenkins commented on the transaction, “We will continue Barracuda’s tradition of delivering easy-to-use, full-featured solutions that can be deployed in the way that makes sense for our customers.

Thoma Bravo

Thoma Bravo is a Chicago-based private equity firm with $17 billion under management. Their appetite for IT firms is rather broad. Some of it’s most notable purchases have been:

  • Thoma Bravo is a Chicago-based private equity firmSeptember 2014 – $2.4 billion purchase of Detroit-based Compuware.
  • December 2014 – $3.6 billion acquisition of Riverbed.
  • In October 2015, they teamed up with Silver Lake to buy IT infrastructure management vendor SolarWinds for $4.5 billion.
  • April 2017 – Purchased a minority stake in the freshly re-spun McAfee.
  • June 2017 they purchased Remote Monitoring and Management (RMM), IT security management vendor Continuum.

Their portfolio has included brands such as; Bomgar, Digicert, Digital Insight, Dynatrace, Hyland Software, Imprivata, iPipeline, Nintex, PlanView, Qlik, SailPoint, and SonicWall.

Thoma Bravo has resold many of its holdings in recent years.

TechCrunch notes that private equity firms began more aggressively buying up software companies last year. The thinking seems to be they can generate reliable returns from such investments. The biggest take-private deals lately include:

  • Marketo, a marketing software maker. Went public in 2013 and was taken private again by Vista Equity Partners in 2017 for $1.79 billion in cash;
  • The sale of event-management company Cvent last year to Vista Equity Partners in a $1.65 billion deal.
  • Cybersecurity risk-monitoring platform SecurityScorecard raised $27.5 million from the VC arms of Google, Nokia, and Intel.

Other notable IT security equity funding recipients include; Attivo NetworksDarktrace, and SentinelOne.

Investopedia speculates that Thoma Bravo is paying a pretty high premium for Barracuda. CUDA now trades at 139 times earnings and 4 times sales. But under private management, its products will likely be integrated with the firm’s other software products to generate synergies.

CRN notes that being a privately owned company will give Barracuda a stronger ability to chart its own destiny. They will not have to “tap-dance to the Wall Street music,” Michael Knight, president and chief technology officer at solution provider Encore Technology Group, Greenville, S.C., said. He hopes Thoma Bravo’s infusion of capital will enable Barracuda to continue driving its public cloud business, a more solidified SD-WAN toolset, and more integrated endpoint security protection.

I have used Barracuda products at past jobs. Including their SPAM-Email firewall appliances and their cloud-based backup up system. The pricing was adequate. Renewals were easy. The email firewalls were really robust and almost set and forget.

The few times when I needed tech support, it was available in Ann Arbor, Michigan. Barracuda, founded in Ann Arbor, was one of the early believers in the area as a high-tech hub. Barracuda has plans to spend  $2.3 million on the expansion of its operations center in the former Borders Books offices at 317 Maynard Street. The expansion will add 115 new jobs in downtown Ann Arbor over the next four years. I hope that after Barracuda Networks has been bought by Thoma Bravo, the deal does not have a “Chainsaw Al” that will kill that growth.

Is Toshiba Screwed?

Is Toshiba Screwed?The tortuous auction of  the covted Toshiba NAND chip fab has finally wrapped. You would think that after over nine months of bidding and 2 trillion yen ($17.7 billion) the victors would like to gloat. A win of that size would be celebrated, but nooo….

The winning partners lead by venture capitalist Bain Capital and Apple can’t even agree on when to hold a presser to announce their purchase. The consortium had planned a presser for 09-28-2017, which was abruptly canceled just minutes before it was due to begin according to reports. Reuters reports that “…the consortium could not form a consensus on whether to brief media.”

PangeaOne wrinkle may be that Apple (AAPL) has demanded new terms on its chip supply for the new iPhones. In addition to Apple, Bain’s consortium “Pangea” includes Japan’s Hoya Corporation, South Korea’s SK Hynix, and U.S. investors Kingston TechnologySeagate Technology (STX), and Dell Technologies Capital.- all of which want access to NAND technology.

Under the deal, Toshiba will have 40.2 percent of voting rights in the chip unit and Hoya will own 9.9 percent. The four U.S. tech firms will not have voting rights.

Besides internal strife, the sale also faces legal challenges from Western Digital (WDC), Toshiba’s chip venture partner, and rejected suitor, which is seeking an injunction to block any deal that does not have its consent.

Western Digital logoWestern Digital, one of the world’s leading makers of hard disk drives, paid some $16 billion last year to acquire SanDisk, Toshiba’s chip joint venture partner since 2000. It sees chips as a key pillar of growth and is desperate to keep the business out of the hands of rival chipmakers.

Bain has also announced that it plans to take Pangea public by 2020.

Another Cloud Goes BustOn April Fools day, another cloud provider closed down without any warning. FierceBigData reports that OpenStack cloud vendor Nebula ceased operations on April 01, 2015 without ever a heads-up.

shut-down operations without ever a heads-upThe firm, founded in 2011 by former NASA CTO, Chris Kemp, appeared to have it under control. According to CSC, they seemed to have customers for its Nebula Cloud Controller, an appliance that integrated up to forty x86 white-box servers into a turnkey OpenStack cloud. Customers of Nebula have included Lockheed Martin, Shutterfly, Sandia National Laboratories, and Genentech.

The company also had a fat war-chest of almost $40 million from top-tier VCs. Silicon Angle reports that Nebula managed to burn $38.5 million in venture capital prior to its closure, from investors including Webb Investment Network, Comcast Ventures, Scott McNealy, William Hearts II, Kleiner Perkins Caufield & Byers, Highland Capital Partners, and others.

Despite its well-stocked war-chest, customer support ended immediately. The defunct company told its former customers to turn to “OpenStack products from vendors including Red HatIBM (IBM), HP (HPQ) and others.”

In the end, it is as simple as the author says the moral of the story is “that you should look very carefully at your partners … you must be able to count on your system integrator, value-added reseller, whoever, to be there when you need them.

Wall Street Investing Like It’s 1999 The New York Times reports that banks are pouring money into technology funds, wealthy clients and institutions are clamoring to get pieces of start-ups, expectations of stock market debuts building. As the Wall Street machinery kicks into second gear, some investors with memories of the Internet bust a decade earlier are wondering whether this sudden burst of activity spells danger for the industry once again.

With all this exuberance, valuations are soaring. Investments in Facebook and Zynga have more than quintupled the implied worth of each company in the last two years. The social shopping site Groupon is considering an initial public offering that would value the company at $25 billion. Less than a year ago, the company was valued at $1.4 billion.

I worry that investors think every social company will be as good as Facebook,” said Roger McNamee, a managing director of Elevation Partners and an investor in Facebook, who co-founded the private equity fund Silver Lake Partners in 1999 at the height of the boom. “You have an attractive set of companies right now, but it would be surprising if the next wave of social companies had as much impact as the first.

WebvanThe NYT points out the example of the online grocer, Webvan. WebVan was one of the most highly anticipated I.P.O.s of the dot-com era. The business had raised nearly $1 billion in start-up capital from institutions like Softbank of Japan, Sequoia Capital, and Goldman Sachs. Goldman, its lead underwriter, invested about $100 million. On its first day, investors cheered as Webvan’s market value soared, rising 65 percent to about $8 billion at the close. Less than two years later, Webvan was bankrupt.

Thomas Weisel, the founder of an investment bank called the Thomas Weisel Partners Group that prospered in the first Internet boom, says he is “astounded” by the amount of money now flooding the markets. “I think it’s much greater today,” he told the NYT. “The pools of capital that are looking at these Internet companies are far greater today than what you had in 2000.”

Yet there are notable differences between the turn-of-the-century dot-com boom and now. For one, the tech start-ups that have attracted so much interest from investors have real businesses — not just eyeballs and clicks. Companies like Facebook have fast-growing revenue. Groupon, which has been profitable since June 2009, is on track to take in billions in revenue this year reports the paper. And since 1999, when 248 million people were online (less than 5 percent of the world’s population), broadband Internet and personal computing have become mainstream. About one in three people are online, or roughly two billion users, according to data from Internet World Stats, a Web site that compiles such numbers.

Today, the collective amount of money that Wall Street banks are pumping into Internet start-ups, on top of the surging cash piles from venture capital groups, hedge funds, and private equity, is a major concern for some investors.

Over the last five months, the NYT says many venture capital players have raised giant amounts of capital. One Facebook investor, Accel Partners, is about to raise $2 billion for investments in China and the United States, while Bessemer Venture Partners will be closing in on $1.5 billion for a new fund. Greylock Partners, Sequoia Capital, Andreessen Horowitz, and Kleiner Perkins Caufield & Byers have collectively raised more than $3 billion in the last six months.

I can do my job without the social networker, I think the infographic above show that the VCs are no better than Wall Street, moving in a herd to Facebook. At least in 1999, the VCs were all over the place now they have settled on 5 firms.

They certainly have not made it easy for any other new ideas to get funded. The VC community has also concentrated its risk on these firms. All of these firms may be sexy on the coasts, but the only one that is relevant to me in Detroit is LinkedIn.
